CIQHR™ Training Terms & ConditionsVersion: 1.0Effective Date: June 2023By completing my registration, I confirm that I have read and agree to the Website Terms of Use, Training Terms & Conditions, Privacy Policy, Refund Policy, Intellectual Property Policy, and any other applicable policies published by CIQHR. I understand that CIQHR programs are private professional development programs intended for educational purposes and that completion of a program does not constitute professional licensing, government approval, legal authorization, or guaranteed employment, business success, or professional recognition.
1. IntroductionThese Training Terms & Conditions ("Training Terms") govern the registration, purchase, participation, access to, and use of any educational programs, online courses, coaching sessions, memberships, webinars, workshops, assessments, learning materials, downloadable resources, digital products, certificates, and related services (collectively, the "Training Services") provided by QOLD Business & People Development Inc., operating under the trade names CIQHR™ (Center for International Qualifications in Human Resources), LHRC™, and affiliated educational brands (collectively referred to as "CIQHR," "we," "our," or "us").These Training Terms form a legally binding agreement between CIQHR and each participant, purchaser, organization, or other individual accessing the Training Services ("Participant," "you," or "your").By registering for, purchasing, accessing, or participating in any Training Service, you acknowledge that you have read, understood, and agree to these Training Terms, our Website Terms of Use, Privacy Policy, Refund Policy, Intellectual Property Policy, and any other applicable policies published on our Website.
2. Nature of the Training ServicesCIQHR provides private educational and professional development programs intended to support learning, knowledge development, and practical understanding of workplace concepts.Unless expressly stated otherwise in writing, our programs:• are educational in nature; • are designed for professional development purposes; • do not constitute academic degree programs; • do not constitute government-approved qualifications; • do not provide professional licensing; • do not authorize participants to practice any regulated profession; • do not replace professional legal, accounting, tax, employment, immigration, or regulatory advice; • do not guarantee employment, promotion, consulting opportunities, business success, income, professional recognition, or any particular outcome. Participants remain solely responsible for determining whether any educational content is suitable for their own professional, organizational, or legal circumstances.
3. EligibilityUnless otherwise stated for a specific program, participants should:• be at least the age of majority in their jurisdiction or otherwise have the legal capacity to enter into binding agreements; • possess any recommended educational background or professional experience described for the applicable program; • provide accurate registration information; • comply with all applicable laws; • comply with these Training Terms. Certain programs may recommend previous experience in HR, administration, management, training, or related fields.Such recommendations are intended solely to assist participants in selecting programs appropriate to their professional background and do not constitute mandatory licensing, certification, or qualification requirements unless expressly stated.CIQHR reserves the right to refuse, suspend, or cancel registrations where reasonably necessary to protect participants, maintain program integrity, comply with legal obligations, or enforce these Training Terms.
4. RegistrationTo participate in certain Training Services, you may be required to complete a registration process.You agree that all information provided during registration will be:• accurate; • complete; • current; • truthful. You agree to promptly update any information that becomes inaccurate.CIQHR may rely upon the information you provide during registration for administrative, educational, legal, security, certification, and operational purposes.Providing inaccurate or misleading information may result in delayed access, suspension, cancellation of registration, or other actions reasonably necessary to protect the integrity of our Services.
5. Participant AccountsCertain Training Services require creation of an online participant account.You are responsible for:• maintaining the confidentiality of your login credentials; • restricting unauthorized access to your account; • maintaining the security of your devices; • notifying CIQHR promptly if unauthorized use is suspected. Participants remain responsible for all activity occurring under their accounts unless otherwise required by applicable law.CIQHR may require identity verification before making changes to participant accounts.
6. Account SecurityParticipants should choose strong passwords and take reasonable measures to protect account credentials.Passwords should not be shared with other individuals.Participants remain responsible for activities occurring through their accounts until unauthorized access has been reported and appropriate corrective measures have been implemented.CIQHR reserves the right to suspend access where account security appears to be compromised.
7. Individual AccountsUnless expressly approved by CIQHR in writing:• each participant may maintain only one personal training account; • accounts are intended solely for the registered participant; • accounts may not be transferred, sold, sublicensed, shared, rented, assigned, or otherwise provided to another individual or organization. Account sharing may result in suspension or termination of access without refund, subject to applicable law.
8. Organizational RegistrationsOrganizations purchasing Training Services for employees remain responsible for:• providing accurate participant information; • ensuring participants comply with applicable policies; • obtaining any internal approvals necessary for participation; • coordinating participant substitutions where permitted. Unless expressly agreed otherwise, organizations do not acquire ownership of training materials, intellectual property, or educational content through participant registrations.
9. Training AvailabilityCIQHR reserves the right to:• modify course schedules; • update educational materials; • improve content; • replace examples; • revise assessments; • update learning resources; • discontinue obsolete materials; • introduce new modules; • change instructors or facilitators; • improve delivery methods. Reasonable modifications intended to improve educational quality generally do not constitute a material breach of these Training Terms.
10. Self-Paced LearningMany CIQHR programs are delivered through self-paced online learning.Participants are responsible for:• managing their own study schedule; • completing learning activities; • reviewing educational materials; • maintaining internet access; • meeting any applicable completion deadlines. Estimated learning times published on our Website represent approximate averages only and should not be interpreted as guarantees.Actual completion times vary among participants.
11. Coaching SessionsWhere coaching sessions are included within a program:• coaching is provided solely for educational and professional development purposes; • coaching is not legal advice; • coaching is not consulting services unless expressly stated; • coaching does not create an employment, partnership, fiduciary, or advisory relationship. Coaching sessions may be rescheduled where reasonably necessary.Missed coaching sessions may not be replaced unless permitted under the applicable program terms.
12. Educational MaterialsParticipants may receive access to educational materials that may include:• presentations; • videos; • workbooks; • templates; • forms; • checklists; • sample policies; • reports; • assessments; • worksheets; • process examples; • HR documentation examples; • downloadable resources. Unless expressly stated otherwise, these materials are provided solely for educational and professional development purposes.Participants remain responsible for independently evaluating, adapting, validating, and implementing any concepts, examples, templates, forms, or educational materials before applying them within their organizations or professional activities.
13. Educational Nature of MaterialsExamples, templates, forms, policies, procedures, reports, assessments, checklists, frameworks, methodologies, sample documents, workflows, and other educational resources are provided solely as learning tools.They:• are not intended to constitute legal documents; • are not guaranteed to satisfy regulatory requirements; • are not guaranteed to comply with local employment laws; • are not intended to replace professional advice; • should be reviewed and adapted before implementation. Participants remain solely responsible for ensuring compliance with applicable laws, regulations, organizational policies, contractual obligations, and professional standards.
14. Training FeesTraining fees are published on our Website or communicated through an official CIQHR representative.Unless expressly stated otherwise:• prices may change without prior notice; • promotional pricing may be offered for limited periods; • regional pricing may vary; • taxes, duties, bank charges, exchange fees, or similar charges may apply depending on your location and payment method. The applicable price is the price displayed or confirmed at the time your order is accepted.
15. Promotional Offers and DiscountsFrom time to time, CIQHR may offer:• promotional pricing; • regional discounts; • scholarship opportunities; • coupon codes; • membership pricing; • corporate pricing; • reseller pricing; • limited-time campaigns. Unless expressly stated otherwise:• promotions cannot be combined; • promotions have no cash value; • expired promotions cannot be reinstated; • promotions may be modified or withdrawn at any time before purchase. CIQHR reserves the right to refuse or cancel discounts obtained through error, misuse, fraud, technical malfunction, or unauthorized distribution.
16. Reservation of TrainingWhere CIQHR temporarily reserves a training seat pending payment, the reservation remains valid only for the period stated during registration.If payment is not successfully completed before the reservation expires:• the reservation may automatically expire; • promotional pricing may no longer apply; • training availability is not guaranteed. CIQHR is not responsible for reservations lost because payment was not completed within the stated timeframe.
17. PaymentPayment may be made using payment methods accepted by CIQHR or its authorized payment service providers.By submitting payment, you represent that:• you are authorized to use the selected payment method; • the information provided is accurate; • sufficient funds or credit are available. Payments may be processed through independent third-party payment providers. CIQHR does not control the operation of those payment providers and is not responsible for their services, processing times, security practices, or system availability.
18. Payment PlansWhere payment plans are offered:• all scheduled payments remain payable according to the agreed schedule; • access to training may be limited until required payments have been received; • failure to complete scheduled payments may result in suspension of access; • certificates may be withheld until all outstanding balances have been paid. CIQHR reserves the right to discontinue payment plans for future purchases without affecting existing agreements.
19. TaxesParticipants remain responsible for any taxes, customs duties, withholding taxes, value-added taxes (VAT), goods and services taxes (GST), harmonized sales taxes (HST), sales taxes, or similar governmental charges applicable to their purchase unless otherwise required by law.
20. CurrencyTraining fees may be displayed in Canadian Dollars (CAD), United States Dollars (USD), or another currency specified by CIQHR.Where currency conversion occurs:• exchange rates are determined by your payment provider or financial institution; • CIQHR is not responsible for exchange rate fluctuations or banking charges.
21. Access to TrainingAccess to Training Services is generally provided after:• successful registration; • receipt of required payment; • account creation where applicable; • completion of any necessary verification procedures. Access times may vary depending on operational requirements.CIQHR does not guarantee immediate activation.
22. Duration of AccessUnless expressly stated otherwise in writing, access to online training is granted for the period specified for the applicable program.Access periods begin when participant access is activated, not necessarily on the purchase date.At the end of the applicable access period:• training access may expire; • participant accounts may become inactive; • educational materials may no longer be accessible.
23. ExtensionsCIQHR may, at its sole discretion, grant extensions to access periods in appropriate circumstances.Extensions:• are not guaranteed; • may be granted only once or as determined by CIQHR; • may require compliance with specific conditions; • do not create any ongoing entitlement to future extensions. Participants are encouraged to complete their training within the original access period.Failure to complete training within the allocated timeframe does not create an obligation for CIQHR to provide additional access.
24. ReactivationWhere permitted by CIQHR, expired accounts may be eligible for reactivation.Reactivation:• is entirely discretionary; • may require payment of a reactivation fee; • may be subject to current program availability; • may not include access to obsolete course versions. CIQHR reserves the right to decline reactivation requests.
25. Technical RequirementsParticipants are responsible for maintaining:• reliable internet access; • compatible devices; • supported web browsers; • appropriate software; • reasonable cybersecurity measures; • functioning email access. CIQHR is not responsible for participant equipment, internet interruptions, local network issues, or third-party service disruptions.
26. Course UpdatesEducational programs may be revised periodically.Updates may include:• revised modules; • improved learning materials; • updated legislation references; • revised examples; • new templates; • additional resources; • updated videos. CIQHR reserves the right to determine whether existing participants receive access to revised materials.
27. Certificates of CompletionWhere applicable, participants who satisfy the published completion requirements may receive a Certificate of Completion.Certificates:• confirm participation and completion of the applicable educational program; • do not constitute professional certification; • do not constitute government approval; • do not constitute licensing; • do not constitute academic qualifications; • do not authorize the practice of any regulated profession; • do not guarantee employment or career advancement. Certificates are issued solely by CIQHR.
28. Certificate EligibilityCertificate issuance may require:• completion of required learning activities; • completion of assessments where applicable; • payment of all outstanding fees; • compliance with these Training Terms. CIQHR reserves the right to withhold certificates where participants fail to satisfy applicable requirements.
29. Verification of CertificatesCIQHR may verify certificates upon request.Verification may include confirmation of:• participant name; • certificate number; • completion date; • program title; • verification status. CIQHR reserves the right to refuse verification where identity cannot reasonably be confirmed or where disclosure would be inconsistent with applicable privacy laws.
30. Replacement CertificatesParticipants may request replacement certificates where available.Replacement certificates:• may be subject to administrative fees; • may reflect updated branding; • may include revised formatting; • will not alter the original completion date unless correction of an administrative error is required.
31. Educational OutcomesCIQHR makes no representation or guarantee that participation in any Training Service will result in:• employment; • promotion; • consulting engagements; • business opportunities; • increased income; • professional recognition; • regulatory approval; • licensing; • certification; • academic credit; • client acquisition; • organizational improvement; • implementation success. Educational outcomes vary significantly depending upon individual effort, professional background, workplace environment, market conditions, legal requirements, organizational practices, and numerous other factors beyond CIQHR's control.
32. CPD RecognitionWhere a program is identified as CPD-accredited or eligible for continuing professional development recognition, such recognition relates to the educational activity itself.Unless expressly stated otherwise:• CPD recognition does not constitute professional licensing; • CPD recognition does not create legal authority to practice; • CPD recognition does not constitute government approval; • CPD recognition does not guarantee acceptance by employers, educational institutions, professional associations, licensing bodies, or regulatory authorities. Participants remain responsible for determining whether a program satisfies the requirements of any employer, professional body, regulator, or other organization.
33. Participant ResponsibilitiesParticipants are responsible for:• complying with these Training Terms and all applicable policies; • providing accurate registration information; • maintaining the confidentiality of account credentials; • using the Training Services responsibly and lawfully; • respecting the intellectual property rights of CIQHR and third parties; • using sound professional judgment when applying any educational concepts, templates, forms, or examples provided through the Training Services. Participants remain solely responsible for how they apply or implement any knowledge or materials obtained through the Training Services.
34. Acceptable UseParticipants agree to use the Training Services only for lawful educational and professional development purposes.Participants shall not:• violate any applicable law or regulation; • infringe intellectual property rights; • interfere with the operation of the Website or learning platform; • attempt unauthorized access to any system or account; • upload malicious software or harmful code; • disrupt other participants' learning experience; • impersonate another individual or organization; • submit false or misleading information; • misuse coaching sessions or support services; • use the Training Services in a manner that could damage CIQHR's reputation or operations.
35. Account SharingTraining accounts are licensed to the registered participant only.Unless expressly authorized in writing by CIQHR, participants shall not:• share login credentials; • permit another person to access their account; • use another participant's account; • create multiple accounts to avoid restrictions; • transfer accounts to another individual or organization. CIQHR reserves the right to suspend or terminate accounts involved in unauthorized sharing.
36. Intellectual PropertyAll intellectual property rights relating to the Training Services remain the exclusive property of CIQHR, QOLD Business & People Development Inc., or the applicable rights holder.This includes, without limitation:• course content; • videos; • presentations; • manuals; • workbooks; • HR toolkits; • templates; • forms; • policies; • checklists; • assessment tools; • scoring systems; • reports; • methodologies; • graphics; • branding; • logos; • trademarks; • service marks; • software; • website content; • learning materials; • downloadable resources; • coaching materials; • audio recordings; • written content; • original educational concepts. Participation in a Training Service does not transfer ownership of any intellectual property.
37. Limited LicenceSubject to these Training Terms, participants receive a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the educational materials solely for their own learning and professional development.Unless expressly authorized in writing, this licence does not permit participants to:• distribute materials; • publish materials; • reproduce materials for commercial purposes; • sublicense materials; • assign materials; • create derivative works; • incorporate materials into commercial training programs; • sell or license the materials to others. This licence automatically terminates upon expiration or termination of access.
38. Educational ResourcesEducational resources provided through the Training Services—including templates, forms, policies, checklists, examples, reports, assessment tools, and sample documentation—are supplied solely for educational purposes.Participants remain responsible for:• reviewing all materials; • adapting materials to their specific circumstances; • ensuring compliance with applicable laws; • obtaining professional advice where appropriate; • validating suitability before implementation. CIQHR does not warrant that any educational resource is appropriate for every organization or jurisdiction.
39. CopyrightAll educational materials are protected by applicable copyright laws and international intellectual property treaties.Except where permitted by applicable law or expressly authorized in writing, participants shall not:• copy; • scan; • photograph; • reproduce; • record; • translate; • publish; • upload; • distribute; • broadcast; • modify; • extract substantial portions; • create derivative works from; • commercially exploit any Training Service materials.
40. Recording RestrictionsUnless expressly authorized in writing by CIQHR, participants may not record:• coaching sessions; • webinars; • live training; • instructor presentations; • participant discussions; • online meetings; • demonstrations. CIQHR may record certain sessions for educational, administrative, quality assurance, or operational purposes where appropriate and subject to applicable law.
41. Artificial Intelligence RestrictionsTo protect the integrity of our educational content and intellectual property, participants shall not, without prior written authorization from CIQHR:• use Training Materials to train artificial intelligence or machine learning systems; • upload substantial portions of Training Materials into generative AI platforms for redistribution or commercial use; • create datasets based primarily on CIQHR Training Materials; • reproduce or automate the creation of competing educational content using CIQHR materials; • use automated tools to systematically extract or scrape Training Materials. Nothing in this section is intended to restrict uses that are expressly permitted under applicable copyright or other laws.
42. TrademarksThe names, logos, brands, trade names, slogans, and trademarks associated with CIQHR, LHRC, QOLD Business & People Development Inc., and related programs remain the property of their respective owners.Participants shall not:• register confusingly similar names; • imply endorsement; • represent themselves as official representatives; • modify logos; • use trademarks in a misleading manner; • use CIQHR branding without written authorization. Nothing in these Training Terms grants any ownership or trademark licence beyond the limited rights expressly provided.
43. Testimonials and FeedbackParticipants may voluntarily submit:• feedback; • suggestions; • testimonials; • reviews; • recommendations; • improvement ideas. Unless otherwise agreed in writing, participants grant CIQHR a non-exclusive, worldwide, royalty-free licence to use such feedback for improving or promoting the Training Services, provided applicable privacy rights are respected.Where testimonials include identifiable personal information, CIQHR will use them in accordance with applicable privacy laws and any permissions obtained.
44. Participant CommunitiesWhere participant groups, discussion forums, online communities, or collaboration spaces are provided, participants agree to:• communicate respectfully; • avoid harassment or discrimination; • refrain from unlawful or offensive conduct; • avoid unauthorized advertising or solicitation; • respect confidentiality where applicable. CIQHR reserves the right to moderate or remove content that reasonably appears inconsistent with these Training Terms.
45. Suspension of AccessCIQHR may suspend access to the Training Services where reasonably necessary, including where:• these Training Terms are breached; • payment obligations remain outstanding; • unauthorized account sharing is detected; • intellectual property infringement is suspected; • fraudulent activity is reasonably suspected; • platform security may be compromised; • unlawful conduct is identified; • continued access could adversely affect the Services or other participants. Where reasonably practicable, CIQHR may provide notice before suspension; however, immediate suspension may occur where necessary to protect security, legal compliance, or the integrity of the Services.
46. TerminationCIQHR may terminate participant access where:• material breaches of these Training Terms occur; • fraudulent conduct is established; • intellectual property is intentionally misused; • repeated policy violations occur; • applicable law requires termination. Termination does not affect any rights or obligations that accrued before termination, including outstanding payment obligations or CIQHR's intellectual property rights.
47. Effect of TerminationUpon termination or expiration of access:• participant access may immediately cease; • licences granted under these Training Terms automatically terminate; • educational materials must no longer be accessed except where retention is expressly permitted; • certificates previously issued remain subject to these Training Terms; • provisions relating to intellectual property, confidentiality, limitations of liability, governing law, dispute resolution, and other clauses intended to survive termination shall remain in effect.
48. Educational DisclaimerCIQHR provides private educational and professional development services intended solely to support learning and knowledge development.Unless expressly stated otherwise in writing, the Training Services:• are educational in nature; • are not consulting services; • are not legal services; • are not accounting services; • are not tax services; • are not immigration services; • are not employment law services; • are not regulated professional services; • are not governmental programs. Participants remain solely responsible for evaluating, adapting, and implementing any educational concepts, templates, forms, policies, assessments, methodologies, or examples provided through the Training Services.
49. No Professional AdviceNothing contained within the Training Services should be interpreted as legal, accounting, tax, employment law, immigration, regulatory, investment, financial, or other professional advice.Participants should seek qualified professional advice appropriate to their individual circumstances before relying upon or implementing any educational material.
50. No Guarantee of ResultsCIQHR makes no representation, warranty, or guarantee that participation in any Training Service will result in:• employment; • promotion; • salary increases; • consulting engagements; • business success; • client acquisition; • professional recognition; • licensing; • certification; • regulatory approval; • academic credit; • organizational improvements; • implementation success; • financial gain; • career advancement. Individual outcomes depend upon numerous factors beyond CIQHR's control, including personal effort, prior experience, market conditions, employer requirements, organizational practices, economic conditions, applicable laws, and individual circumstances.
51. Accuracy of Educational ContentCIQHR makes reasonable efforts to prepare educational materials using information believed to be accurate at the time of publication.However:• laws change; • regulations change; • professional practices evolve; • technologies develop; • organizational practices differ. Accordingly, educational materials may not always reflect the most current developments.Participants remain responsible for independently verifying information before relying upon or implementing it.
52. Third-Party ResourcesTraining Services may include references or links to third-party:• websites; • publications; • software; • AI tools; • government resources; • organizations; • educational materials. Such references are provided solely for educational convenience.CIQHR does not control, endorse, guarantee, or accept responsibility for third-party products, services, content, availability, privacy practices, or accuracy.Participants access third-party resources at their own discretion.
53. Technology AvailabilityCIQHR makes commercially reasonable efforts to maintain the availability of its Website and Training Services.However, uninterrupted availability cannot be guaranteed.Services may occasionally be unavailable because of:• maintenance; • updates; • security measures; • internet interruptions; • hosting failures; • third-party provider outages; • force majeure events; • circumstances beyond our reasonable control. Temporary interruptions do not constitute a breach of these Training Terms.
54. Disclaimer of WarrantiesTo the fullest extent permitted by applicable law, the Training Services are provided on an "as is" and "as available" basis.Except where prohibited by applicable law, CIQHR disclaims all express, implied, statutory, or other warranties, including implied warranties of:• merchantability; • satisfactory quality; • fitness for a particular purpose; • non-infringement; • uninterrupted availability; • accuracy; • completeness. Nothing in these Training Terms excludes warranties that cannot legally be excluded.
55. Limitation of LiabilityTo the fullest extent permitted by applicable law, CIQHR, QOLD Business & People Development Inc., its directors, officers, employees, instructors, contractors, affiliates, licensors, partners, and representatives shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to the Training Services.This includes, without limitation:• lost profits; • business interruption; • lost business opportunities; • reputational harm; • lost data; • loss of goodwill; • professional decisions; • employment decisions; • implementation of educational materials. Where liability cannot legally be excluded, it shall be limited to the maximum extent permitted by applicable law.To the extent permitted by applicable law, CIQHR's aggregate liability arising from any claim relating to the Training Services shall not exceed the amount actually paid by the participant for the specific Training Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.Nothing in these Training Terms limits liability that cannot legally be limited under applicable law.
56. IndemnificationTo the extent permitted by applicable law, participants agree to indemnify and hold harmless CIQHR, QOLD Business & People Development Inc., its affiliates, directors, officers, employees, instructors, contractors, licensors, and representatives from claims, losses, damages, liabilities, costs, and reasonable legal expenses arising from:• violation of these Training Terms; • misuse of the Training Services; • infringement of intellectual property rights; • unlawful conduct; • misuse of participant accounts; • implementation of educational materials contrary to applicable laws or organizational requirements. This obligation applies only to the extent permitted by applicable law.
57. Force MajeureCIQHR shall not be liable for delays or failures in performance resulting from events beyond its reasonable control, including:• natural disasters; • pandemics; • public health emergencies; • war; • terrorism; • labour disputes; • governmental actions; • internet failures; • cyberattacks; • utility failures; • acts of God; • failures of third-party service providers; • other events beyond our reasonable control. Where practicable, CIQHR will make reasonable efforts to resume normal operations.
58. Governing LawThese Training Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.Nothing in this section limits any mandatory legal rights that participants may have under applicable consumer protection legislation.
59. Dispute ResolutionThe parties agree to make reasonable efforts to resolve disputes through good-faith discussions before commencing formal legal proceedings.Nothing in this section prevents either party from seeking urgent injunctive relief or exercising rights that cannot legally be waived.Where permitted by applicable law, legal proceedings relating to these Training Terms shall be brought before the courts having jurisdiction in Ontario, Canada.
60. Entire AgreementThese Training Terms, together with the Website Terms of Use, Privacy Policy, Refund Policy, Intellectual Property Policy, and any additional written agreements expressly incorporated by reference, constitute the entire agreement between the parties concerning the Training Services.They supersede prior discussions, understandings, or representations relating to the same subject matter.
61. SeverabilityIf any provision of these Training Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.The invalid provision shall be interpreted, modified, or replaced to the minimum extent necessary to achieve its intended purpose while remaining legally enforceable.
